These Terms and Conditions (“Terms”) govern your use of the services provided by AMENDIEM SUPPLY CHAIN SOLUTIONS LLC ("AMENDIEM," "we," "our," or "us"). By accessing or using our services, including but not limited to logistics planning, transportation management, and supply chain optimization, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. Services Overview

AMENDIEM SUPPLY CHAIN SOLUTIONS LLC provides a comprehensive range of supply chain and logistics services, including but not limited to:

• Transportation logistics and freight management.
• Supply chain consulting and optimization.
• Warehousing and distribution solutions.
• Customized logistics solutions for various industries.

Specific terms for individual service agreements will be detailed in separate contracts or statements of work, which will supplement and be incorporated into these general Terms.

2. User Obligations

As a user of our services, you agree to:

• Provide accurate, complete, and up-to-date information required for the provision of services.
• Comply with all applicable local, national, and international laws and regulations related to your goods and services.
• Ensure that all shipped goods are properly packaged, labeled, and accompanied by necessary documentation.
• Promptly make all payments for services rendered as per the agreed-upon terms.
• Indemnify and hold harmless AMENDIEM from any claims, damages, or liabilities arising from your breach of these obligations.

3. Payments and Billing

Payment terms for all services will be specified in the individual service agreements. Unless otherwise agreed, invoices are due and payable within the timeframe specified on the invoice. Late payments may be subject to interest charges or other penalties as defined in the service agreement. AMENDIEM reserves the right to suspend or terminate services for overdue accounts until payment is received in full.

4. Limitation of Liability

AMENDIEM SUPPLY CHAIN SOLUTIONS LLC will exercise reasonable care and skill in providing its services. However, in no event shall AMENDIEM, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. Our total aggregate liability to you for any and all claims arising out of or in connection with these Terms or the services shall not exceed the amount paid by you to AMENDIEM for the specific service from which the claim arose during the three (3) months preceding the event giving rise to the claim.

5. Indemnification

You agree to defend, indemnify, and hold harmless AMENDIEM SUPPLY CHAIN SOLUTIONS LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) goods shipped or services provided by you.

6. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.
